Item 8.01 Other Events.

On March 2, 2009, Live Nation, Inc. (the "Company" or "Live Nation") held a conference call to discuss the Company’s results of operations for the quarter and year ended December 31, 2008. During that earnings call, the Company’s proposed merger (the "Merger") with Ticketmaster Entertainment, Inc. ("Ticketmaster") was also discussed. A transcript of the portion of the earnings call addressing the Merger is furnished herewith as Exhibit 99.1 and is incorporated by reference herein.
